American Depositary Receipt Program

Software AG Corporation has established a Level-1 American Depositary Receipt (ADR) Program. ADRs are negotiable U.S. certificates evidencing ownership of shares for a non-U.S. company. They enable U.S. investors to acquire and trade non-U.S. securities denominated in U.S. dollars.

The Level-1 ADR Program enables over-the-counter (OTC) trading of unlisted ADRs representing the Software AG stock. Software AG uses the OTCQX platform, a premier market place for over-the-counter business in the U.S.

The purpose of the Level-1 ADR Program is to encourage foreign investments into our stock through the U.S. over-the-counter market, especially in the U.S.
